In this transitional year reflecting the end of the Covid pandemic disruption and the initiation of interest rate rise programmes by many central banks, we significantly out-performed these benchmarks both on a portfolio and a total return basis while also returning cash via dividends to shareholders at well <mark style="background-color:yellow">above</mark> market yields. This was made possible by a significant gain in the value of our largest US investment (Geron Corporation) particularly in the mid part of the year in anticipation of important clinical trial results in the early weeks of 2023. Geron’s share price increased by 140 percent over this four month period and by 100 percent over the year as a whole in US dollar terms. In sterling terms, this overall increase was over 120 percent due to the strength of the US dollar in 2022. This out-performance for the year was despite a retrenchment of over 40 percent in the value of our other large US investment, Lineage Cell Therapeutics Inc following gains of 100 percent in that stock over the previous two years.

Delinquency management -Increasing costs of living were a key concern for our customers across the year. A continual review process ensured that our underwriting remained appropriate from both credit risk and affordability perspectives and we maintained a high quality of new lending. Pro-active communication and monitoring of forbearance tools ensured that existing customers continued to have the support they need. This was further enhanced by the introduction of a central collections team, utilising available capacity from within the Guarantor Loans business as that loan book runs down. As a result, collections performance was consistently <mark style="background-color:yellow">ahead</mark> of expectations throughout the year, and by year end the proportion of the loan book that was up-to-date and not rescheduled or deferred had recovered to the pre-Covid levels of early 2020.

<mark style="background-coloryellow">Significant</mark> progress is being made, with a final design iteration of its Pareta® drive due to be tested during Q2 2023, in collaboration with major Tier 1 axle supplier Meritor. In addition, the Group announced in February 2023 that it had signed a Collaboration Framework Agreement with Tier 1 axle suppliers BRIST and BASE, representing DGIs first commercial partnership. The parties will work together to develop and integrate Pareta® into the current range of BRIST and BASE axles to provide a turnkey offering for commercial and military vehicles globally. Furthermore, DGI will provide BRIST and BASE its existing vehicle control and torque vectoring system to allow the partners to accelerate the penetration of the product in the market sectors identified, the parties will work together to accelerate activities in the retrofit and conversion market and DGI will provide UK in country presence for sales and customer support. Ultimately, the intention is for DGI to assemble BRIST and BASE axles within the UK in due course, with the partners to support the establishment of operations when demand requires. As our first "commercial" agreement we believe this has scope to result in significant revenues across a number of different business models. The Group also continues its work with the UK Ministry of Defence.

The Group had amounts due from its <mark style="background-color:yellow">significant</mark> revenue customers at the year end that represented 84% (2021: 53%) of the trade receivables balance. These amounts have been subsequently settled. The Group approach to measure the credit loss allowance for trade receivables is outlined in note 17. In this transitional year reflecting the end of the Covid pandemic disruption and the initiation of interest rate rise programmes by many central banks, we significantly out-performed these benchmarks both on a portfolio and a total return basis while also returning cash via dividends to shareholders at well <mark style="background-color:yellow">above</mark> market yields. This was made possible by a significant gain in the value of our largest US investment (Geron Corporation) particularly in the mid part of the year in anticipation of important clinical trial results in the early weeks of 2023. Geron’s share price increased by 140 percent over this four month period and by 100 percent over the year as a whole in US dollar terms. In sterling terms, this overall increase was over 120 percent due to the strength of the US dollar in 2022. This out-performance for the year was despite a retrenchment of over 40 percent in the value of our other large US investment, Lineage Cell Therapeutics Inc following gains of 100 percent in that stock over the previous two years.

Delinquency management -Increasing costs of living were a key concern for our customers across the year. A continual review process ensured that our underwriting remained appropriate from both credit risk and affordability perspectives and we maintained a high quality of new lending. Pro-active communication and monitoring of forbearance tools ensured that existing customers continued to have the support they need. This was further enhanced by the introduction of a central collections team, utilising available capacity from within the Guarantor Loans business as that loan book runs down. As a result, collections performance was consistently <mark style="background-color:yellow">ahead</mark> of expectations throughout the year, and by year end the proportion of the loan book that was up-to-date and not rescheduled or deferred had recovered to the pre-Covid levels of early 2020.

After the three years, from 2019 to 2021, which saw the Companys underlying operating profit fall by 58%, to £28 million, 2022 was a year of stabilisation. Revenues from our continuing operations grew year on year by 8.1% to £478.1m, reflecting growth in our Marine Support, Offshore Oil and Tankships divisions, which was partially offset by a disappointing year in our Specialist Technical division. Underlying operating profit from continuing operations is 5.7% below 2021 at £26.4m (2021: £28.0m). Similar to our revenue profile, improved profitability across Marine Services, Tankships and Offshore Oil was offset by <mark style="background-color:yellow">significant</mark> profit falls in our Defence and Nuclear businesses, the latter of which is disclosed as a Discontinued Operation. Operating margins from continuing operations remained weak at 5.5% (2021: 6.3%) and improving our operational performance to increase margin is a key priority for the new leadership team going forward.

<mark style="background-coloryellow">Significant</mark> progress is being made, with a final design iteration of its Pareta® drive due to be tested during Q2 2023, in collaboration with major Tier 1 axle supplier Meritor. In addition, the Group announced in February 2023 that it had signed a Collaboration Framework Agreement with Tier 1 axle suppliers BRIST and BASE, representing DGIs first commercial partnership. The parties will work together to develop and integrate Pareta® into the current range of BRIST and BASE axles to provide a turnkey offering for commercial and military vehicles globally. Furthermore, DGI will provide BRIST and BASE its existing vehicle control and torque vectoring system to allow the partners to accelerate the penetration of the product in the market sectors identified, the parties will work together to accelerate activities in the retrofit and conversion market and DGI will provide UK in country presence for sales and customer support. Ultimately, the intention is for DGI to assemble BRIST and BASE axles within the UK in due course, with the partners to support the establishment of operations when demand requires. As our first "commercial" agreement we believe this has scope to result in significant revenues across a number of different business models. The Group also continues its work with the UK Ministry of Defence.

The Group’s credit risk is primarily attributable to its trade receivables. Trade debtor’s credit ratings are reviewed regularly. The Groups review includes measures such as the use of external ratings and establishing purchase limits for each customer. The Group had amounts due from its <mark style="background-color:yellow">significant</mark> revenue customers at the year end that represented 84% (2021: 53%) of the trade receivables balance. These amounts have been subsequently settled. The Group approach to measure the credit loss allowance for trade receivables is outlined in note 17. At year end, the Group allowance for doubtful debts provided against trade receivables was £89,000 (2021: £140,000). As at year end the amount of trade receivables held past due date less credit loss allowances was £159,000 (2021: £201,000). To date, the amount of trade receivables held past due date less credit loss allowances that has not subsequently been settled is £122,000 (2021: £106,000). Management have no reason to believe that this amount will not be settled.

In this transitional year reflecting the end of the Covid pandemic disruption and the initiation of interest rate rise programmes by many central banks, we significantly out-performed these benchmarks both on a portfolio and a total return basis while also returning cash via dividends to shareholders at well <mark style="background-color:yellow">above</mark> market yields. This was made possible by a significant gain in the value of our largest US investment (Geron Corporation) particularly in the mid part of the year in anticipation of important clinical trial results in the early weeks of 2023. Geron’s share price increased by 140 percent over this four month period and by 100 percent over the year as a whole in US dollar terms. In sterling terms, this overall increase was over 120 percent due to the strength of the US dollar in 2022. This out-performance for the year was despite a retrenchment of over 40 percent in the value of our other large US investment, Lineage Cell Therapeutics Inc following gains of 100 percent in that stock over the previous two years.

Delinquency management -Increasing costs of living were a key concern for our customers across the year. A continual review process ensured that our underwriting remained appropriate from both credit risk and affordability perspectives and we maintained a high quality of new lending. Pro-active communication and monitoring of forbearance tools ensured that existing customers continued to have the support they need. This was further enhanced by the introduction of a central collections team, utilising available capacity from within the Guarantor Loans business as that loan book runs down. As a result, collections performance was consistently <mark style="background-color:yellow">ahead</mark> of expectations throughout the year, and by year end the proportion of the loan book that was up-to-date and not rescheduled or deferred had recovered to the pre-Covid levels of early 2020.

After the three years, from 2019 to 2021, which saw the Companys underlying operating profit fall by 58%, to £28 million, 2022 was a year of stabilisation. Revenues from our continuing operations grew year on year by 8.1% to £478.1m, reflecting growth in our Marine Support, Offshore Oil and Tankships divisions, which was partially offset by a disappointing year in our Specialist Technical division. Underlying operating profit from continuing operations is 5.7% below 2021 at £26.4m (2021: £28.0m). Similar to our revenue profile, improved profitability across Marine Services, Tankships and Offshore Oil was offset by <mark style="background-color:yellow">significant</mark> profit falls in our Defence and Nuclear businesses, the latter of which is disclosed as a Discontinued Operation. Operating margins from continuing operations remained weak at 5.5% (2021: 6.3%) and improving our operational performance to increase margin is a key priority for the new leadership team going forward.

In addition, the Group announced in February 2023 that it had signed a Collaboration Framework Agreement with Tier 1 axle suppliers BRIST and BASE, representing DGIs first commercial partnership. Furthermore, DGI will provide BRIST and BASE its existing vehicle control and torque vectoring system to allow the partners to accelerate the penetration of the product in the market sectors identified, the parties will work together to accelerate activities in the retrofit and conversion market and DGI will provide UK in country presence for sales and customer support. Ultimately, the intention is for DGI to assemble BRIST and BASE axles within the UK in due course, with the partners to support the establishment of operations when demand requires. As our first "commercial" agreement we believe this has scope to result in significant revenues across a number of different business models. The Group also continues its work with the UK Ministry of Defence.
