JTC PLCs final results for the year ended 31 December 2025 show a strong financial performance, with revenue increasing by 25.1% to £381.9 million, driven by net organic growth of 8.5% and strategic acquisitions. Underlying EBITDA rose by 22.4% to £124.5 million, with a consistent underlying EBITDA margin of 32.6%. The company achieved record new business wins of £43.5 million, up 21.8% from the previous year.
JTCs growth strategy continued to be successful, with both the Institutional Capital Services and Private Capital Services divisions delivering strong organic growth. The company completed significant acquisitions, including Citis global fiduciary and trust administration business and Kleinwort Hambros Trust Company, which are integrating well and adding value.
The company also announced a recommended cash acquisition by Papilio Bidco Limited at £13.40 per share, with an enterprise value of approximately £2.7 billion. Shareholders approved the transaction in January 2026, and completion is expected in the third quarter of 2026, subject to regulatory approvals.
